Terms of Service

By accessing or using MorphAds ("Platform", "Service", "we", "us"), operated by Samuditha Learning System Pvt. Ltd., you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.

These Terms constitute a legally binding agreement between you ("User", "you") and Samuditha Learning System Pvt. Ltd. ("Company"), a company incorporated under the Companies Act, 2013, with its registered office in Jaipur, India.

If you do not agree to these Terms, please do not use the Platform.

MorphAds is an AI-powered creative platform that generates UGC-style video advertisements for brands and businesses. The Service includes:

• AI-generated video ad creation from product images
• AI creator/avatar selection and customisation
• Multi-language script generation (Hindi, Tamil, Telugu, and 6 other Indian languages)
• Video rendering and export in multiple formats
• Credit-based billing with Razorpay payment integration

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To use MorphAds, you must:

• Be at least 18 years of age
• Provide a valid Indian mobile number for OTP-based authentication
• Provide accurate, current, and complete information during registration
• Not have been previously suspended or removed from the Platform

You are responsible for maintaining the confidentiality of your account and for all activities under your account. Notify us immediately at support@morphads.in if you suspect unauthorised access.

Credit System: MorphAds operates on a prepaid credit model. Video ads cost 5 credits per second — a 10-second video is 50 credits, 20 seconds is 100 credits, and 30 seconds is 150 credits. A photo costs 3 credits per image. Credits are purchased in packs and deducted upon successful generation.

Payments: All payments are processed securely through Razorpay. We accept UPI, debit/credit cards, and net banking. All amounts are in Indian Rupees (INR) and include applicable GST.

Credit Validity and Inactive Accounts: Purchased credits do not expire while your MorphAds account remains active and in good standing. Credits are not transferable, redeemable for cash, or usable outside MorphAds. Credits may become unavailable if your account is closed, deleted at your request, suspended for violation of these Terms, or if MorphAds is permanently discontinued. If MorphAds is discontinued, we may provide reasonable notice and allow users to use their remaining credits during the notice period. Credits do not expire merely because of inactivity. However, if an account remains inactive for 24 consecutive months or longer, MorphAds may restrict access for security, fraud-prevention, or account-maintenance reasons. Users may contact support to restore access, subject to verification and these Terms.

Refund Policy: Credits are refundable only if:

• a duplicate payment was made;
• payment was deducted but credits were not added;
• unused credits are requested within 7 days of purchase; or
• a permanent generation failure occurred where credits were not restored.
• Used credits are not refundable.
• Refund requests must be sent to support@morphads.in with your order ID and registered mobile number. Approved refunds are processed within 5–7 business days to the original payment method.

For disputes, please refer to our Grievance Redressal mechanism in Section 12.

Your Content: You retain all rights to product images and brand assets you upload to the Platform. By uploading content, you grant MorphAds a limited, non-exclusive, royalty-free licence to use your content solely for generating your requested outputs.

Generated Outputs: Upon successful generation and sufficient credit deduction, you own a perpetual, worldwide licence to use the AI-generated video outputs for commercial advertising purposes.

Platform IP: MorphAds, its AI models, avatars, software, and brand are owned exclusively by Samuditha Learning System Pvt. Ltd. You may not copy, reverse-engineer, or redistribute any part of the Platform.

AI Avatars:Our AI avatar personas are designed as synthetic characters and are licensed/cleared for commercial use by MorphAds, subject to these Terms. Final ad claims, platform approval, and category-specific compliance remain the advertiser's responsibility.

Advertising Claims & Restricted Categories: Do not generate medical, therapeutic, weight-loss, disease-cure, guaranteed- result, or unverified before/after claims unless you hold the required substantiation and approvals. Health, beauty, supplement, food, and wellness products require verified claims and your own review before the output is used in advertising.

MorphAds includes AI-generated disclosure labels and compliance guardrails to support responsible use of synthetic ad creatives.

Generated outputs may include "AI Generated" or similar synthetic-content labels. However, MorphAds does not guarantee that any generated ad, claim, script, visual, or output will be compliant with ASCI guidelines, MeitY rules, platform ad policies, or sector-specific regulations.

You are responsible for reviewing all product claims, testimonials, before/after claims, health or wellness claims, financial claims, and platform-specific requirements before publishing or running any generated content as an advertisement.

You agree not to use MorphAds to:

• Create content that is defamatory, obscene, or violates the IT Act 2000 or IPC
• Generate deepfakes of real identifiable individuals without their explicit written consent
• Create misleading health claims that violate CDSCO or FSSAI regulations
• Produce content promoting illegal products, hate speech, or communal disharmony
• Circumvent platform safety systems or attempt to access other users' data
• Use the Service for any purpose that violates applicable Indian or international law
• Resell, sublicence, or white-label the Platform without our written consent

Violation of these prohibitions may result in immediate account suspension and potential legal action.

The Platform is provided "as is" and "as available" without any warranties, express or implied. We do not warrant that:

• The Service will be uninterrupted, error-free, or completely secure
• Generated content will meet your specific business requirements or conversion targets
• AI-generated outputs will be accepted by all advertising platforms without modification

To the maximum extent permitted under Indian law, MorphAds disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable Indian law, Samuditha Learning System Pvt. Ltd. shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of revenue, profits, or business opportunities arising from use of generated content
• Third-party advertising platform rejections or policy violations
• Data loss due to circumstances beyond our reasonable control

Our aggregate liability for any claim shall not exceed the total amount paid by you to MorphAds in the 3 months preceding the claim.

You agree to indemnify and hold harmless Samuditha Learning System Pvt. Ltd., its directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your uploaded content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

We may suspend or terminate your account immediately if you violate these Terms or engage in conduct harmful to the Platform, other users, or third parties.

You may terminate your account at any time by contacting support@morphads.in. Upon termination, your unused credits are forfeited. Downloaded video outputs remain yours.

In accordance with the Information Technology (Intermediary Guidelines) Rules 2021, we have appointed a Grievance Officer:

• Response time: We acknowledge grievances within 24 hours and resolve them within the period required under applicable law, currently 7 days for applicable intermediary grievances, subject to shorter timelines for specific unlawful content complaints.

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

We may update these Terms periodically. We will notify registered users via SMS or email at least 7 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
